Sound Dimension is a revolution in the sound industry, coming soon to speakers near you.

In an age of unlimited access to music, Sound Dimension connects the dots without unnecessary investments in expensive and troublesome sound systems. The patented and award-winning Artificial Intelligence Fidelity – AiFi® technology improves the sound of any speaker and allows different sources of sound to transform into one unison of high-quality sound. Over time, and starting with smartphones (iOS), speakers regardless of type and brand will play together simultaneously and optimized in quality of sound.

Sound Dimension has set out to democratize sound and to create a new de-facto standard within sound. A standard that can ultimately be enjoyed by all – somewhat like Dolby in the old days and like the way Bluetooth has become a standard for connectivity.

During 2022, the technology was matured and fitted into an app that allows the AiFi optimized sound to spread across 10 or more iPhones simultaneously, with a option to add in individual Bluetooth speakers.

The company is now approaching music streaming services and Bluetooth speaker brands with licensing propositions. The initial reactions are favorable. To drive the commercialization, the company has hired a new VP Sales and Business Development with extensive experience from growing technology companies from very small to very big.

The funds from the upcoming exercise will be used to fuel and accelerate this commercialization. Game on.

In total there are 3.080.158 outstanding warrants of series TO1. The holder of warrants of series TO1 has the right to subscribe for each warrant, one new share in Sound Dimension at a price of 0,91 SEK per share.

Subscription with support of warrants of series TO1 can take place during the period from the 6th of October 2022 until 17th of October 2022. Subscriptions must be made through the bank if you have an account in Sweden, or through filling out the subscription form if you have an account in Denmark. This must be done by simultaneous cash payment no later than 15.00 on the 17th of October 2022. The last day of trading in warrants of series TO 1 is on the 12th of October 2022.

Your action is required before the 17th of October 2022

The warrants of series TO 1 are traded on Spotlight Stock Market until the 12th of October and can be exercised until the 17th of October. Thereafter the warrants will be cancelled. In order for your warrants not to expire, you must actively subscribe for shares no later than the 17th of October 2022.

The Sound Dimension IPO warrant (TO1), is a financial instrument listed on the Spotlight Stock Market just like the parent share.

The TO1 is an opportunity to buy shares with a 30% discount in the subscription period from the 6th to the 17th of October 2022. The discount is calculated as the volume-weighted average share price in the 3-week (15 trading days) period up to the start of the exercise period.

Holdings in custody accounts (Sweden or abroad)

If your warrants are held in a custody account, an investment savings account, or in a capital insurance account (trustee registered ownership) the subscription and payment shall be made to the respective trustee who will give further instructions regarding procedures for exercising the warrants. The option to exercise warrants and receive shares is granted the warrant holders during the exercise period, which takes place from 6 October 2022 until 17 October 2022. Note that the banks/managers need your notification of the exercise of TO 1 well in advance before the exercise period ends.
